Welcome to tmber.space. Please read these Terms of Service carefully before using our platform. By accessing or using https://tmbr.space or any services we provide, you agree to be bound by these terms. If you do not agree, please do not use our platform.

1. Acceptance of Terms

By creating an account, making a purchase, or otherwise accessing the tmber.space platform, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), that you have read and understood these Terms of Service, and that you have the legal capacity to enter into a binding agreement. If you are using the platform on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these terms.

2. Description of Services

tmber.space operates a Software as a Service (SaaS) platform available at https://tmbr.space. The platform provides tools, features, and functionality as described on our website from time to time. We reserve the right to modify, expand, or discontinue any part of the service at our discretion, with reasonable notice where practical.

Your use of the platform may be subject to additional policies, guidelines, or agreements presented at the time you access specific features or make a purchase. Those additional terms are incorporated into these Terms of Service by reference.

3. Accounts and Member Responsibilities

To access certain features of the platform, you may be required to register for an account. When you do, you agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date.

  • Keep your password and account credentials confidential and not share them with any third party.

  • Notify us promptly at create@tmbr.space if you suspect unauthorized access to your account.

  • Accept responsibility for all activity that occurs under your account, whether or not you authorized it.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

4. Bookings, Memberships, Purchases, and Payment Terms

The platform may allow you to purchase subscriptions, memberships, one-time services, or other products. By completing a purchase, you agree to pay all applicable fees at the prices displayed at the time of your order.

  • Billing: Fees are charged in accordance with the plan or product you select. Subscription fees are billed on a recurring basis (monthly or annually, as chosen) until cancelled.

  • Payment methods: We accept payment methods as listed on the checkout page. You authorize us to charge your selected payment method for all fees incurred.

  • Taxes: Prices displayed may exclude applicable taxes, including HST/GST where required under Canadian law. Any applicable taxes will be added to your total at checkout.

  • Failed payments: If a payment fails, we may suspend access to your account until payment is resolved. We may retry failed charges in accordance with our billing practices.

  • Price changes: We may change our pricing at any time. For existing subscriptions, we will provide reasonable advance notice before a price change takes effect.

5. Cancellations, Refunds, and No-Shows

You may cancel your subscription or service plan at any time through your account settings or by contacting us at create@tmbr.space.

  • Subscriptions: Cancellations take effect at the end of the current billing period. You will retain access to paid features until that date, and no further charges will be made after cancellation.

  • Refunds: Unless otherwise required by applicable law or stated in a specific offer, fees already paid are generally non-refundable. If you believe you are entitled to a refund, please contact us and we will review your request on a case-by-case basis.

  • Scheduled sessions or bookings: If the platform includes scheduling or booking functionality, cancellation and no-show policies specific to those bookings will be displayed at the time of booking and are incorporated here by reference. Failure to attend a scheduled session without cancelling within the stated notice period may result in forfeiture of that booking without a refund.

Nothing in this section limits any rights you may have under applicable Ontario or Canadian consumer protection legislation.

6. Acceptable Use

You agree to use the platform only for lawful purposes and in a manner consistent with these terms. You must not:

  • Use the platform in any way that violates applicable federal, provincial, or local laws or regulations, including those of Ontario and Canada.

  • Attempt to gain unauthorized access to any part of the platform, other accounts, or our systems or networks.

  • Upload, transmit, or distribute any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.

  • Introduce any viruses, malware, or other harmful code into the platform.

  • Use automated tools, bots, or scrapers to access or extract data from the platform without our prior written consent.

  • Resell, sublicense, or otherwise commercially exploit any part of the platform without our express written authorization.

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

  • Engage in any conduct that could damage, disable, overburden, or impair the platform or interfere with others' use of it.

We may investigate suspected violations and may take any action we deem appropriate, including suspending or terminating access.

7. Intellectual Property

All content, software, trademarks, logos, and other materials on the platform are the property of tmber.space or its licensors and are protected by applicable intellectual property laws. These terms do not grant you any ownership interest in the platform or its content.

Subject to your compliance with these terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for its intended purpose.

If you submit feedback, suggestions, or other content to us, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, and incorporate that content into the platform or our services without compensation or attribution to you.

You retain ownership of any content you upload to the platform. By uploading content, you grant us a limited licence to host, display, and process that content as necessary to provide the service to you.

8. Disclaimers and Limitation of Liability

The platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law:

  • tmber.space and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform.

  • Our total aggregate liability to you for any claims arising under or related to these terms will not exceed the greater of (a) the amount you paid us in the [12] months preceding the event giving rise to the claim, or (b) [CAD $100].

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent that applicable law in Ontario or Canada does not permit such exclusions or limitations, those provisions shall apply only to the extent permitted.

9. Indemnification

You agree to indemnify, defend, and hold harmless tmber.space and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the platform;

  • Your breach of these Terms of Service;

  • Any content you upload or submit through the platform; or

  • Your violation of any applicable law or the rights of any third party.

10. Termination

You may stop using the platform at any time and cancel your account as described in Section 5.

We may suspend or terminate your access to the platform at any time, with or without notice, if we reasonably believe you have violated these terms, engaged in fraudulent or harmful conduct, or if we discontinue the platform or any part of it.

Upon termination, your right to access the platform ceases immediately. Provisions of these terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

11. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will update the Last updated date at the top of this page and, where appropriate, notify you by email or through a notice on the platform. Your continued use of the platform after the effective date of any changes constitutes your acceptance of the updated terms. If you do not agree to the revised terms, you should stop using the platform and cancel your account.

12. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these terms or your use of the platform that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada, and you irrevocably consent to that jurisdiction.

Before initiating any formal proceeding, we encourage you to contact us at create@tmbr.space so we can attempt to resolve the matter informally.

13. General Provisions

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these terms is not a waiver of that right or provision. These terms, together with any additional policies referenced herein, constitute the entire agreement between you and tmber.space regarding your use of the platform and supersede any prior agreements.
