Terms of Service

The agreement between you and Tmbr for using the platform.

These Terms of Service (“Terms”) govern your access to and use of tmbr.space and the Tmbr platform (the “Service”), operated by [your registered legal entity] from Ontario, Canada. By creating an account or using the Service, you agree to these Terms.

The Service

Tmbr is an all-in-one business-management platform that lets operators build a website and run bookings, classes, events, memberships, a CRM, a gallery/shop, newsletters, and a community — from one subscription.

Accounts and eligibility

You must be able to form a binding contract to use the Service. You are responsible for your account, for keeping your credentials secure, and for all activity under your account. Provide accurate information and keep it current.

Plans, billing, and fees

  • Paid plans are billed in advance on a monthly or annual basis through Stripe, and renew automatically until cancelled. You can cancel at any time; cancellation takes effect at the end of the current billing period and fees already paid are non-refundable except where required by law.
  • Some features charge usage-based fees (for example, a flat fee per event ticket). These are disclosed in the Service.
  • Your sales to your customers: to sell memberships, tickets, bookings, classes, or products, you connect your own Stripe account. You are the merchant of record for those transactions and are responsible for fulfilment, refunds, chargebacks, taxes, and compliance. Tmbr collects an agreed platform commission and/or fee at the time of each transaction; the remainder settles to your connected Stripe account.
  • Prices may change on reasonable notice; changes apply from your next renewal.

Your content

You retain ownership of the content you create or upload (“Your Content”). You grant Tmbr a non-exclusive licence to host, process, and display Your Content solely to operate and improve the Service. You are responsible for Your Content and for having the rights and permissions needed to use it, including any personal information of your members and customers.

Acceptable use

You agree not to use the Service to: break the law; infringe others’ rights; send spam or unlawful, harmful, or deceptive content; attempt to breach security or access data you’re not authorized to; or resell the Service without our permission. We may suspend or remove content or accounts that violate these Terms.

Third-party services

The Service integrates with third parties (for example, Stripe, Google, Notion, and Slack). Your use of those services is governed by their terms, and we are not responsible for them.

Availability and support

We work to keep the Service available and reliable but do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features with reasonable notice where practical.

Termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for breach of these Terms, risk to the Service or others, or as required by law. On termination, your right to use the Service ends; we provide a reasonable opportunity to export Your Content except where prohibited.

Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. Tmbr is a tool you use to run your business; you are responsible for your business decisions, legal compliance, and the accuracy of your content.

Limitation of liability

To the fullest extent permitted by law, Tmbr will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the event giving rise to the claim.

Indemnity

You agree to indemnify and hold Tmbr harmless from claims arising out of Your Content, your use of the Service, your sales to your customers, or your breach of these Terms or applicable law.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada.

Changes

We may update these Terms from time to time. We will post the updated version here and, for material changes, notify you through the Service. Continued use after changes means you accept them.
